The present General Conditions of Use and Contract (hereinafter, the “General Conditions”) regulate the access, navigation, registration and use of the platform accessible through the domain https://hirint.io and its subdomains (hereinafter, the "Platform"), as well as the contracting of the services offered by HIRINT GLOBAL, SL (hereinafter, “HIRINT”), a Spanish company with registered office at General Pardiñas Street 112, 28006 Madrid, and NIF B-88592860.

Access to or use of the Platform attributes to the person who does so the condition of user (hereinafter, the "User") and implies full and unreserved acceptance of all the provisions included in these General Conditions. If you do not agree with them, you must leave the Platform and refrain from using the services.

By accepting these Terms, the User declares that they have read and understood them, that they have sufficient legal capacity to enter into contracts, and, if acting on behalf of a legal entity, that they have the necessary powers of representation to do so.

1. Object and scope

The purpose of this document is to establish the terms that regulate access, use, and contracting of the services offered through the HIRINT Platform, as well as the conditions applicable to Users who use it to manage and execute candidate evaluation or selection processes.

Use of the Platform is limited to professional purposes, related to talent assessment, selection processes, or competency analysis. Any use for personal, academic, or other purposes other than those described herein is expressly prohibited, except with prior written authorization from HIRINT.

HIRINT acts at all times as a technology provider, providing the infrastructure, maintenance, support and secure processing of the information necessary for the operation of the Platform, without intervening in the hiring, evaluation or selection decisions that correspond to the User or the entities they represent.

Access, browsing, or use of the Platform implies full and unreserved acceptance of these General Conditions, which apply to all registered or invited Users, regardless of their geographic location or the type of service contracted.

2. Access and registration

Access to the Platform is free for mere browsing, although the use of services of candidate evaluation and management requires pre-registration as a User and, where applicable, the contracting a usage or subscription plan.

During the registration process, the User must provide truthful, current, and complete information, and is responsible for ensuring its accuracy and up-to-dateness. The creation of false, duplicate, anonymous, or inaccurate accounts may result in the suspension or deletion of access.

The User will be responsible for the custody and confidentiality of your access credentials, agreeing not to share them with third parties and to immediately notify HIRINT of any unauthorized use.

HIRINT reserves the right to deny or cancel access to the Platform when there are indications of fraudulent use, non-compliance with these Conditions or violation of applicable regulations.

3. Rules for use of the Platform

The User undertakes to use the Platform lawfully, diligently, and in accordance with his or her professional purpose, refraining from any activity that may harm HIRINT, other Users, or third parties.

In particular, the User undertakes to:

• Use the Platform exclusively for the evaluation and management of candidates within legitimate selection or professional development processes.
• Do not introduce, store, or distribute viruses, malicious code, or any software that could damage systems or data through the Platform.
• Do not access restricted areas without authorization or interfere with the technical functioning of the Platform.
• Do not copy, reproduce, distribute, modify, analyze, or use the Platform or its contents for benchmarking, reverse engineering, technical auditing, or functional replication purposes.
• Do not use the Platform to send mass mailings, unsolicited communications, or engage in advertising activities unrelated to the service.
• Do not create or maintain duplicate or generic accounts without authorization from HIRINT.
• Do not use the Platform in a way that infringes the intellectual property rights, confidentiality or data protection of third parties.

HIRINT may suspend, restrict, or terminate the User's access in the event of non-compliance with these rules, reserving the right to take appropriate legal action and claim damages.

4. Description and contracting of services

HIRINT offers various subscription plans through the Platform that allow the User to create, manage, and analyze evaluation processes, interviews, and talent tests, in accordance with the features described in each plan in effect at the time of purchase.

The contracting process is carried out entirely online, following the steps indicated on the Platform. The contract will be considered finalized once the User confirms the order and makes the corresponding payment, and is subject to these Terms and Conditions.

HIRINT will retain electronic proof of the contracts made and will make available to the User the necessary information regarding their active plan, usage history, and billing.

Users may upgrade, extend, or cancel their subscription at any time, in accordance with the specific terms of each plan. Cancellation will take effect at the end of the contracted period, with no right to a partial refund.

HIRINT may update, expand, or modify the features of the available plans to improve the service or adapt it to technical or legal requirements, informing the User with reasonable notice in the event of substantial changes.

5. Intellectual property

• The Platform, its software, architecture, code, interfaces, designs, databases, technical documentation, item and test banks, algorithms, AI models, images, texts, trademarks, trade names, domains and any other elements (collectively, the “Assets”) are the exclusive property of HIRINT or its licensors, and are protected by applicable legislation on intellectual and industrial property and trade secrets.

• HIRINT grants the User a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for internal professional talent assessment and management purposes during the term of the subscription. No other rights to the Assets are assigned or licensed.

• It is prohibited to reproduce, copy, modify, decompile, distribute or use any element of the Platform without the express written authorization of HIRINT-

• The assessment content and its components constitute HIRINT's know-how and trade secrets and must be treated as confidential information.

• HIRINT may use aggregated or anonymized data derived from the use of the Platform for product improvement, research, and development purposes, without the possibility of identifying individuals.

6. User Obligations

HIRINT is committed to keeping the Platform operational, secure, and accessible, implementing reasonable technical and organizational measures to ensure its proper functioning and the protection of the data processed.

However, the User acknowledges and accepts that, given the technological nature of the services, continuous availability, complete absence of errors, or full compatibility with all technical environments cannot be guaranteed.

HIRINT shall not be liable for any damages or losses arising from:

• Connection failures, service interruptions, system errors or technical incidents beyond its control.
• Improper, negligent or contrary use of these Conditions by the User or its employees.
• The decisions, assessments or results obtained by the User from the information generated on the Platform.
• Force majeure or actions by third parties that affect the operation of the service.

In any case, HIRINT's total liability to the User for direct damages arising from the use of the Platform will be limited, at most, to the amount actually paid by the User during the twelve (12) months prior to the event that gave rise to the claim.

HIRINT shall not be liable under any circumstances for indirect damages, loss of profits, data, or reputation, or for decisions made by the User or third parties based on information obtained through the Platform.

7. Protection of personal data

Within the framework of the use of the Platform, HIRINT may process personal data of candidates, users, and representatives of the Client, in accordance with the provisions of Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018 (LOPDGDD).

For these purposes:

• The Data Controller for candidates will be the User or the entity they represent, which uses the Platform to manage their own selection or evaluation processes.
• HIRINT acts as the Data Processor, limiting itself to providing technological support, hosting, and management services for the Platform, in accordance with the documented instructions of the Data Controller and in accordance with the Data Processing Agreement (DPA) signed between the parties.
• The data processing will be used to manage the evaluation process, verify the identity of candidates, and generate reports and metrics derived from the use of the Platform.
• HIRINT will implement appropriate technical and organizational measures to ensure the security, confidentiality, integrity, and availability of the personal data processed, in compliance with Article 32 of the GDPR.
• Personal data will be retained for the time necessary to provide the service and in accordance with the retention periods defined by the Data Controller.
• Interested parties may exercise their rights of access, rectification, erasure, objection, restriction, and portability before the corresponding Data Controller.
• For any query or question related to data protection, the User may contact HIRINT at the address privacy@hirint.io.

HIRINT guarantees that all access, subprocessing, and international data transfers, if any, will be carried out in accordance with applicable regulations and within the contractual framework agreed upon with the Controller.

8. Modifications

HIRINT reserves the right to modify, update, or revise the content of these Terms and Conditions at any time for legal, technical, security, operational, or service provision reasons.

If such modifications substantially affect the User's rights or obligations, HIRINT will communicate this clearly and in advance before a new evaluation session is held, so that the User can understand and accept the conditions applicable at all times.

9. Applicable law and jurisdiction

These Terms and Conditions shall be construed and governed by the Spanish legislation in force at all times.

For the resolution of any dispute that may arise from the interpretation, validity, or execution of these Terms and Conditions, the parties submit to the jurisdiction of the Courts and Tribunals of the User's domicile. If the User is located outside of Spain, or when procedural regulations permit, the parties expressly agree to submit to the Courts and Tribunals of the city of Madrid (Spain), waiving any other jurisdiction that may apply.
